Strategic Acquisition: KNDS Group Engages in Exclusive Negotiations for Texelis’ Defense Sector
On January 29, 2025, KNDS along with Texelis’ stakeholders finalized a Memorandum of Understanding (MOU) concerning the proposed acquisition of Texelis’ Defense segment by KNDS France.
Per this agreement, both organizations announce the commencement of exclusive dialogues aimed at solidifying this acquisition, which will require the division of Texelis into two separate enterprises – Texelis Défense and Texelis Transport.
The process of unveiling and consulting with employee representative bodies regarding this project is scheduled for the upcoming days. The eventual realization of this acquisition, projected for early 2026, relies on the fulfillment of agreements and the standard conditions precedent connected to such deals.
Texelis is a French corporation whose Defense division specializes in ground mobility and the creation of innovative solutions for armored land vehicles. Texelis is a crucial player in the French defense industry, producing an array of components and mobility systems for the armored divisions of the French Army. Following the acquisition of the SERVAL contract with KNDS France, Texelis has successfully advanced, validated, and delivered comprehensive mobility solutions for 4×4, 6×6, and 8×8 vehicles.
As a forward-thinking organization, Texelis is at the forefront of hybrid technology for armored vehicles, alongside energy management strategies pertinent to mobility.
Texelis’ Transport division will continue to function under the leadership of its existing management team, supported by its investors.
Texelis employs a team of 350 professionals and recorded revenues nearing 110 million euros in 2023. In addition to its production facility in Limoges, Texelis has opened a branch at the KNDS France site in Roanne.
“This strategic move will enable us to amplify our growth and broaden our expertise in the mobility domain, partnering with a high-performing French firm with which we have a well-established relationship and which is already our collaborator in the temporary venture Serval,” remarked Nicolas Chamussy, CEO of KNDS France.
Charles-Antoine de Barbuat, Chairman of Texelis, expressed: “The anticipated incorporation of Texelis’ Defense division into the KNDS group would reveal numerous pathways for development, exceeding the initial achievements of our collaboration. Moreover, the Transport division possesses all essential attributes to thrive independently.”
