Rheinmetall Takes the Lead: Major Stake Secured in Blackned GmbH’s Digital Transformation

Rheinmetall Electronics GmbH, located in Bremen, has obtained an additional 11% of the shares in the Bavarian software firm blackned GmbH through a stock purchase agreement. With this acquisition, Rheinmetall aims to secure 51% ownership and thus the majority stake in blackned. The Bremen-based Rheinmetall subsidiary has previously held a 40% share in blackned.

The deal remains dependent on several conditions precedent and also necessitates approval from the German Federal Cartel Office.

Established in 2009 and situated in Heimertingen, Bavaria, blackned focuses on software solutions aimed at the digital transformation of military forces. The company currently employs around 200 individuals and is experiencing significant growth. By increasing its shareholding in blackned, Rheinmetall emphasizes the critical role of digital transformation with advanced IT infrastructures for the defense contractor industry.

In December, Rheinmetall and blackned successfully secured a significant contract as part of the digital transformation of the Bundeswehr. The two firms plan to collaborate to integrate the IT frameworks of all ground forces vehicle and platform systems within the D-LBO initiative. Rheinmetall’s share of the contract volume is approximately €730m, with blackned contributing around €470m. The cutting-edge technology is scheduled to be implemented into over 10,000 combat and support vehicles of the Bundeswehr by mid-2030.
