
KNDS Group Enters Exclusive Talks to Acquire Texelis’ Defense Division
On January 29, 2025, KNDS and the stakeholders of Texelis executed a Memorandum of Understanding (MOU) regarding the envisioned acquisition by KNDS France of Texelis’ Defense division.
In accordance with this pact, both entities declare that they are commencing exclusive discussions aimed at finalizing this deal, which will necessitate the bifurcation of Texelis into two distinct companies – Texelis Défense and Texelis Transport.
The disclosure and consultation process with employee representative bodies regarding this initiative is planned for the imminent days. The ultimate realization of this deal, anticipated for the first quarter of 2026, hinges on the completion of agreements and the customary conditions precedent associated with such transactions.
Texelis is a French firm whose Defense division is focused on terrestrial mobility and the development of advanced solutions for armored ground vehicles. Texelis stands as a significant contributor in the French defense sector, manufacturing various components and mobility elements for the armored units of the French Army. Following the receipt of the SERVAL contract with KNDS France, Texelis has successfully advanced, validated, and produced comprehensive mobility solutions for 4×4, 6×6, and 8×8 vehicles.
As a pioneering enterprise, Texelis leads the way in hybridization technology for armored vehicles, alongside energy management strategies related to mobility.
Texelis’ Transport segment will continue to operate under the administration of its current management team, with backing from its investors.
Texelis employs a workforce of 350 individuals and reported revenues of approximately 110 million euros in 2023. In addition to its manufacturing facility in Limoges, Texelis has established a branch at the KNDS France location in Roanne.
